NON-DISCLOSURE & NON-CIRCUMVENTION AGREEMENT
اتفاقية عدم الإفصاح وعدم التحايل
This NON-DISCLOSURE & NON-CIRCUMVENTION AGREEMENT (the “Agreement”) is entered into as of the date specified in the form above (the “Effective Date”) by and between:
Prohealth, a company specializing in marketing and brokerage services for clinics, with its principal place of business in Dubai, UAE, and the Clinic, whose name and owner details are mentioned in the form above (“Clinic” or “Recipient”), a clinic seeking to sell, rent, or find a partner/investor through the services of Prohealth. Together, the “Parties” and each individually, a “Party.”
هذه “اتفاقية عدم الإفصاح وعدم التحايل” (“الاتفاقية”) تم إبرامها اعتبارًا من التاريخ المحدد في النموذج أعلاه (“التاريخ الفعلي”) بين: شركة “بروهيلث” ذ.م.م (“الوسيط” أو “بروهيلث”)، وهي شركة متخصصة في التسويق والخدمات الوسيطة لعيادات الأسنان، ومقرها الرئيسي في دبي، الإمارات العربية المتحدة، والعيادة، والتي تم ذكر اسمها وتفاصيل مالكها في النموذج أعلاه (“العيادة” أو “المتلقي”)، وهي عيادة أسنان تسعى إلى البيع أو التأجير أو العثور على شريك مستثمر من خلال خدمات “بروهيلث”. يُشار إلى الطرفين مجتمعين بـ”الأطراف” وكل طرف بمفرده بـ”الطرف”.
1. Purpose | الغرض
Prohealth will market the Clinic to potential buyers, renters, or investors (“Potential Clients”) and facilitate transactions. This Agreement ensures that the Clinic does not circumvent Prohealth by directly engaging with Potential Clients introduced by Prohealth without proper compensation. The Clinic also agrees that Prohealth shall have the exclusive right to work on marketing and brokering transactions for the Clinic for a period of three (3) months from the Effective Date.
ستقوم “بروهيلث” بتسويق العيادة للمشترين أو المستأجرين أو المستثمرين المحتملين (“العملاء المحتملين”) وتسهيل إتمام الصفقات. تضمن هذه الاتفاقية عدم تحايل العيادة على “بروهيلث” من خلال التواصل المباشر مع العملاء المحتملين الذين تم تقديمهم من قبل “بروهيلث” دون دفع العمولة المستحقة. كما توافق العيادة على أن “بروهيلث” سيكون لها الحق الحصري في العمل على تسويق وإدارة صفقات العيادة لمدة ثلاثة (3) أشهر من تاريخ سريان هذه الاتفاقية.
2. Confidential Information | المعلومات السرية
Confidential Information includes but is not limited to:
a) The identities and contact details of Potential Clients introduced by Prohealth.
b) Marketing strategies, methods, and processes used by Prohealth.
c) Financial projections, pricing, or transaction terms shared by Prohealth.
d) Any discussions, communications, or negotiations related to the sale, rental, or investment of the Clinic.
Confidential Information does not include information that:
i) Is publicly available at the time of disclosure or becomes publicly available through no fault of the Recipient.
ii) Is independently developed by the Recipient without reliance on Prohealth’s information.
iii) Is lawfully obtained from a third party without restriction.
تشمل المعلومات السرية، على سبيل المثال لا الحصر:
أ) هوية العملاء المحتملين وتفاصيل الاتصال الخاصة بهم الذين تم تقديمهم من قبل “بروهيلث”.
ب) استراتيجيات التسويق والأساليب والعمليات المستخدمة من قبل “بروهيلث”.
ج) التوقعات المالية والتسعير أو شروط الصفقة التي تمت مشاركتها من قبل “بروهيلث”.
د) أي مناقشات أو اتصالات أو مفاوضات تتعلق ببيع أو تأجير أو استثمار في العيادة.
لا تشمل المعلومات السرية أي معلومات:
i) متاحة للعامة وقت الإفصاح أو تصبح متاحة للعامة دون خطأ من المتلقي.
ii) تم تطويرها بشكل مستقل من قبل المتلقي دون الاعتماد على معلومات “بروهيلث”.
iii) تم الحصول عليها بشكل قانوني من طرف ثالث دون قيود.
3. Non-Disclosure & Non-Circumvention | عدم الإفصاح وعدم التحايل
a) The Clinic agrees not to disclose, share, or use the Confidential Information for any purpose other than engaging in discussions with Prohealth and its introduced clients regarding the potential sale, rental, or investment in the Clinic.
b) The Clinic shall not contact, negotiate, or enter into any direct agreements with any Potential Clients introduced by Prohealth without the prior written consent of Prohealth.
c) If the Clinic enters into an agreement with any Potential Client introduced by Prohealth without Prohealth’s involvement or approval, the Clinic shall be liable to pay Prohealth its full agreed-upon commission as if Prohealth facilitated the transaction.
أ) توافق العيادة على عدم الكشف أو مشاركة أو استخدام المعلومات السرية لأي غرض آخر سوى الانخراط في مناقشات مع “بروهيلث” وعملائها المحتملين بخصوص البيع أو التأجير أو الاستثمار في العيادة.
ب) لا يجوز للعيادة الاتصال أو التفاوض أو الدخول في أي اتفاقيات مباشرة مع أي من العملاء المحتملين الذين قدمتهم “بروهيلث” دون موافقة خطية مسبقة من “بروهيلث”.
ج) في حالة قيام العيادة بإبرام اتفاقية مع أي من العملاء المحتملين الذين قدمتهم “بروهيلث” دون مشاركة أو موافقة “بروهيلث”، تلتزم العيادة بدفع العمولة الكاملة المتفق عليها كما لو أن “بروهيلث” قد سهلت الصفقة.
4. Compensation & Commission | التعويض والعمولة
The Clinic agrees to pay Prohealth the commission percentage as specified in the section above upon the successful completion of a transaction.
✔️ Sale of the Clinic – As per the agreed commission percentage mentioned above.
✔️ Rental of the Clinic – As per the agreed commission percentage mentioned above.
✔️ Investment in the Clinic (Partnership) – As per the agreed commission percentage mentioned above.
توافق العيادة على دفع العمولة لـ “بروهيلث” بنسبة المذكورة أعلاه عند إتمام الصفقة بنجاح.
✔️ في حالة بيع العيادة – وفقًا لنسبة العمولة المتفق عليها والمذكورة أعلاه.
✔️ في حالة تأجير العيادة – وفقًا لنسبة العمولة المتفق عليها والمذكورة أعلاه.
✔️ في حالة الاستثمار (الشراكة في العيادة) – وفقًا لنسبة العمولة المتفق عليها والمذكورة أعلاه.
5. Term & Termination | المدة والإنهاء
This Agreement shall remain in effect for 24 months after the last introduction of a Potential Client by Prohealth. The exclusivity period, during which only Prohealth may market and broker transactions for the Clinic, shall last for three (3) months from the Effective Date.
6. Governing Law & Dispute Resolution | القانون الحاكم وحل النزاعات
This Agreement shall be gT & Coverned by and interpreted in accordance with the laws of the Emirate of Dubai, United Arab Emirates.
7. Signatures | التوقيعات
By signing below, the Parties acknowledge that they have read, understood, and agreed to the terms of this Agreement.
